1. Introductory Provisions

These General Terms and Conditions govern the rights and obligations between NajTrade s.r.o., with registered office at Húskova 31, 040 23 Košice, Company ID: 50590502, VAT ID: 2120382396, VAT number: SK2120382396, registered in the Commercial Register of the District Court Košice I, section Sro, insert no. 40217/V (hereinafter referred to as the “Seller”) and business entities (hereinafter referred to as the “Buyer”) when selling goods through the online store www.4barista.com (hereinafter referred to as the “E-shop”).

These terms apply only to business relations between the Seller and the Buyer - entrepreneur, according to § 2 of the Commercial Code.

B2B Zone – a part of the E-shop used for placing business orders. Access requires registration.

2. Registration and Access to B2B Zone

Access to the B2B zone of the E-shop is possible only after successful registration and approval by the Seller.

The Seller reserves the right to reject or cancel a registration at any time without giving a reason.

3. Contract Conclusion

Sending an order by the Buyer is considered a proposal to conclude a purchase contract under § 43a of the Commercial Code.

The contract is concluded only when the order is confirmed by the Seller.

The Buyer acknowledges that as a business customer, they do not have the right to withdraw from the contract without a reason, as provided for consumers under Act No. 102/2014 Coll.

4. Prices

The Buyer acknowledges that a contract may not be concluded if the order was placed at a mistakenly listed price due to a system error or staff mistake. In such a case, the Seller has the right to cancel the order, even after confirming it by email. The Buyer will be informed.

5. Delivery and Payment Terms

The estimated delivery time will be shown during checkout.

The delivery cost will be calculated automatically and shown before the order is submitted. The Seller may adjust the shipping cost later, especially for large or irregular orders. The Buyer will be informed.

Available payment methods will be shown at checkout. Card and PayPal payments are subject to a fee. The current fee amount will be displayed during payment selection.

6. Transfer of Ownership and Risk

Ownership of the goods transfers to the Buyer only after full payment.

The risk of damage passes to the Buyer when the goods are received.

7. Warranty and Complaints

The warranty period for new goods is 24 months from the date of receipt. Used goods have a 12-month warranty. Batteries have a 6-month warranty.

Complaints are handled under the Commercial Code, not the Consumer Protection Act.

Wear and tear typical for the material or use is not considered a defect. A product is not defective if its expected lifespan is shorter than the warranty period and it wears out with regular use before the warranty expires.

8. Confidential Information Protection

Both parties agree to keep confidential all information learned during the business relationship.

All information available after logging into the B2B zone, including prices, terms, discounts, stock, and documents, is confidential. The Buyer agrees not to share this with any third party without prior written consent from the Seller.

This confidentiality obligation continues even after the business relationship ends.

9. Final Provisions

The Seller reserves the right to change or update these terms at any time. Changes take effect on the day they are published on the E-shop.

Legal relationships not covered by these terms are governed by the Commercial Code.

The parties agree to resolve disputes preferably by mutual agreement. If that is not possible, disputes will be handled by Slovak courts according to the Seller’s registered office.

10. Copyright and Intellectual Property

All texts, product descriptions, technical data, images, photos, graphics, and other content on www.ekokapsule.sk are protected by copyright and are the intellectual property of NajTrade s.r.o. or third parties under license.

No copying, reproducing, distributing, publishing, or commercial use of the E-shop content is allowed without prior written consent from NajTrade s.r.o.

11. Email Communication

The Seller may send the following types of emails to the Buyer:

• Transaction emails about the order status

• Request for product reviews (max once per order, with option to unsubscribe)

• Personalized product recommendations based on previous purchases (max once per month, with option to unsubscribe)

The Buyer can unsubscribe from receiving these emails.

12. Cookies

To ensure proper website functionality, the Seller may store small data files (cookies) on the Buyer’s device. These cookies allow the site to remember settings (such as login name, language, font size, etc.).

Cookies are used for essential website functions and possibly for marketing. The Buyer can delete all cookies and set their browser to block them. In that case, some site features may not work properly during repeat visits.
